General
Our offers are subject to change and are valid against immediate confirmation. An order is only binding for us when it has been confirmed by us in writing. Orders once placed are irrevocable. Only our terms and conditions of sale shall apply to all transactions concluded. By placing an order, the customer accepts all parts of these terms and conditions. Terms of delivery stipulated by the purchaser shall not be valid, even if we do not expressly contradict them.
Prices
Prices are generally quoted ex works and do not include packaging, freight, postage, insurance, etc.. Packaging will be charged at cost and credited at 2/3 of the invoiced value if returned freight prepaid in undamaged condition.
Payment
Our invoices are to be paid within 30 days of issue in cash without deductions. We accept bankable bills of exchange only on the basis of an express agreement on account of payment. Stamps on bills of exchange, collection charges, exchange losses and all other expenses shall be borne by the customer. In the event of overdue payments, we shall charge interest on arrears at a rate of 2% above the respective central bank discount rate.
Reservation of proprietary rights
The delivered goods remain our property until full payment. The buyer may only sell our goods in the ordinary course of business and as long as he is not in arrears, i.e. he may not pledge them or assign them as security. Claims against third parties arising from the sale of our property are hereby assigned to us. At our request, the purchaser is obliged to inform the third party purchaser of the assignment for payment to us.
Delivery time
The stated delivery times are not binding. Events of force majeure which make work or the procurement of materials, electricity and auxiliary materials more difficult shall entitle us to extend the delivery periods accordingly or to withdraw from the contract in whole or in part. Claims for damages due to delayed delivery are excluded.
Shipment
Shipment of the goods shall always be at the risk of the customer as soon as the goods have been handed over to the railroad, post office or forwarding agent. Insurance shall only be taken out at the express request of the customer and at the customer’s expense.
Liability for defects
Defective goods are to be sent in carriage paid for examination. The complaints must be received by us immediately, i.e. within 8 days at the latest after arrival of the goods at the place of destination, otherwise they are ineffective. In case of complaints justified in time, we reserve the right to deliver a replacement free of charge. Further claims for damages etc. are excluded.
Place of performance
For all rights and obligations arising from the transactions, the place of performance for all parties, including those who are personally liable in addition to a company for any reason, is Stuttgart, also for payment.
